Terms of Service

1. Agreement to Terms

By accessing or using PrecisionLedge ("Service," "we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Service.

These Terms apply to all users including individuals who submit demo requests, clients who access the client portal, and any business entity on whose behalf the Service is used.

2. Service Scope

PrecisionLedge provides a bookkeeping organization service. Specifically, we:

• Accept financial documents (bank statements, receipts, CSV exports) uploaded by the client
• Use AI-assisted tools to extract and categorize individual transactions
• Have a human reviewer check and approve every transaction before a report is finalized
• Deliver a monthly financial summary including a P&L overview, expense breakdown, and transaction export
• Make reports available through a private client portal

The Service does not include:

• Tax preparation, filing, or advice of any kind
• Legal or financial advisory services
• Payroll processing
• Accounts payable or receivable management
• Cash flow forecasting or financial planning
• Certified audits or attest services

3. Human Review Commitment

Every report delivered through PrecisionLedge is reviewed by a member of our team before it is marked complete and made visible in your client portal. We do not auto-deliver AI-generated reports without human review.

However, the quality and accuracy of the review depends on the clarity and completeness of the documents you provide. If you provide incomplete, unclear, or inaccurate documents, the resulting report may contain errors that our review process cannot independently detect.

4. Client Responsibilities

As a client, you agree to:

• Provide accurate documents. Upload the correct, complete bank statements and receipts for the period being processed. Do not upload documents containing false or altered information.
• Respond to reviewer questions. If our team flags a transaction and asks for clarification (e.g., "What was this ATM withdrawal for?"), respond in a timely manner. Unresolved items may delay your report.
• Verify your reports. You are responsible for reviewing your delivered report and notifying us of any errors within 14 days of delivery. We will correct legitimate errors at no additional charge.
• Maintain your own records. PrecisionLedge reports are organizational summaries, not official financial records. You should retain your original bank statements and source documents independently.
• Consult a CPA for taxes. PrecisionLedge reports are useful inputs for your accountant or CPA, but are not a substitute for professional tax preparation or advice.
• Secure your login credentials. Do not share your portal login with anyone outside your business. You are responsible for all activity on your account.

5. Subscription and Payment Terms

PrecisionLedge operates on a monthly subscription model. Your plan tier determines the transaction volume and turnaround time included in your subscription.

Billing

Subscriptions are billed monthly on or around the same calendar date each month. Payment is due at the start of each billing period. We accept major credit and debit cards.

Late Payment

If payment fails, we will attempt to charge the card on file up to three times over 7 days. After that, your account may be suspended and access to the client portal paused until the outstanding balance is settled.

Overages

If your statement contains more transactions than your plan allows, we will notify you and quote an overage rate before processing. We will not charge overage fees without your prior approval.

Price Changes

We reserve the right to update plan pricing. We will provide at least 30 days' written notice before any price increase takes effect for existing subscribers.

6. Cancellation

You may cancel your subscription at any time by emailing support@precisionledge.com. Cancellation requires 30 days' written notice.

• Any reports already in progress when you submit your cancellation notice will be completed and delivered.
• No new uploads will be accepted after the cancellation is confirmed.
• You will retain access to your client portal and all previously delivered reports for 90 days after cancellation.
• We do not issue prorated refunds for partial months unless the cancellation is the result of a material service failure on our part.

We reserve the right to cancel or suspend your account at any time if you violate these Terms, engage in fraudulent activity, or fail to make payment.

7. No Guarantee of Tax Outcomes

PrecisionLedge does not guarantee any specific tax outcome, deduction, audit result, or financial result from use of our Service. Our reports are organizational tools that may be shared with your CPA or tax professional — they are not tax returns and they do not constitute tax advice.

You are solely responsible for the accuracy and completeness of any tax filings you or your accountant submit based on information in our reports.

8. Limitation of Liability

To the maximum extent permitted by applicable law, PrecisionLedge's total liability to you for any claim arising from the Service shall not exceed the amount you paid for the Service in the three months immediately prior to the claim.

PrecisionLedge shall not be liable for:

• Errors in reports caused by inaccurate, incomplete, or fraudulent documents provided by you
• Any tax penalties, interest, or fees resulting from your reliance on our reports without consulting a licensed CPA
• Lost profits, indirect, incidental, special, or consequential damages of any kind
• Service interruptions or downtime outside our reasonable control
• Unauthorized access to your account resulting from compromised credentials on your end

9. Acceptable Use

You agree not to:

• Upload fraudulent, falsified, or illegally obtained financial documents
• Use the Service for any unlawful purpose or in violation of any applicable regulation
• Attempt to gain unauthorized access to another client's data, the admin portal, or any part of our infrastructure
• Reverse-engineer, copy, or resell any part of the Service
• Upload files containing malware, viruses, or malicious code

Violation of these terms may result in immediate account suspension without refund.

10. Intellectual Property

The PrecisionLedge platform, brand, software, and all associated materials are owned by PrecisionLedge. Your financial data and uploaded documents remain your property at all times. By uploading documents, you grant us a limited license to process and analyze them solely for the purpose of delivering your monthly reports.

11. Privacy

Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you agree to the collection and use of your information as described in the Privacy Policy.

12. Modifications to Terms

We may update these Terms from time to time. When we make material changes, we will notify active clients by email at least 14 days before the changes take effect. Continued use of the Service after the effective date constitutes acceptance of the revised Terms.

13. Governing Law

These Terms are governed by the laws of the State of Florida, without regard to its conflict of law provisions. Any disputes shall be resolved in the courts located in Miami-Dade County, Florida.
